Terms of Service

These Terms of Service set out the legal agreement between you and Simply Works LTD, trading as Simply Link, for the use of our payment link and reminder platform.

1. Acceptance of terms

By accessing or using the Simply Link website or platform (the Service ) you agree to be bound by these Terms of Service ( Terms ). If you do not agree with these Terms, you must not use the Service.

If you are using the Service on behalf of a business or organisation, you confirm that you have authority to bind that entity to these Terms and that references to you and your include that entity.

2. About the Service

Simply Link is a software platform that provides tools for UK solo professionals and small businesses to request and manage payments from their clients. The Service includes, but is not limited to, the ability to:

  • Create secure payment links for clients.
  • Integrate payment processing through Stripe Connect.
  • View transaction history and basic reporting.
  • Send automated payment reminders on selected plans.
  • Manage client information within the platform.
  • Track payment status and simple analytics.

Simply Link is a technology provider. We do not provide banking, money remittance, or regulated financial services. All card payment processing is carried out by Stripe.

3. Eligibility and user accounts

To use the Service you must:

  • be at least 18 years old; and
  • have the legal capacity to enter into binding contracts; and
  • provide accurate, current, and complete registration information; and
  • keep your login details secure and confidential.

You are responsible for all activity that occurs under your account. You must notify us promptly if you suspect unauthorised access or activity.

4. Relationship of parties and merchant of record

Simply Link provides a technology platform that enables you to create payment links and collect payments from your customers through Stripe Connect. Simply Link is not a party to any transaction between you and your customers.

You, and not Simply Link, are the merchant of record for all transactions processed through your Stripe Connected Account. This means you are solely responsible for:

  • the goods or services you provide to your customers;
  • setting prices and any discounts;
  • delivery or performance of your services;
  • your customer communication and support;
  • refunds, cancellations, and returns;
  • any chargebacks, disputes, or reversals.

Simply Link does not mediate disputes between you and your customers and has no responsibility for the quality, safety, legality, or delivery of any goods or services you provide.

4.1 Fraud monitoring, risk controls, and account reviews

To protect our users, Stripe, and Simply Link from fraudulent or high-risk activity, we operate automated and manual risk checks. These checks may assess factors such as unusual payment behaviour, chargeback patterns, inaccurate business information, prohibited activities, or signals received from Stripe.

We may, at our discretion and without prior notice:

  • pause the creation or completion of payments;
  • place temporary restrictions on your account;
  • request additional information or identification;
  • block or remove prohibited content or links;
  • review or suspend your Connected Account if required by Stripe;
  • terminate access to the Service where we believe there is a risk of fraud, misuse, or harm.

These measures are required for our compliance with Stripe Connect and are not optional. Failure to provide information requested during a review may result in suspension or termination of your account.

4.2 Account status and suspension

Based on our risk assessment, your account may be assigned one of the following statuses:

  • Active: Full access to all platform features.
  • Under Review: You may access the dashboard but cannot connect Stripe or create payment links until we complete our review.
  • Blocked: Your account is suspended. You cannot access the dashboard, create links, or accept payments.

If your account is placed under review or blocked, you will be notified and may contact support to request a review of this decision. We are not obligated to provide specific reasons for account restrictions where doing so would compromise our security measures.

5. Stripe Connect and payment processing

Simply Link uses Stripe Connect to enable payment processing. When you connect your Stripe account to our platform, you agree to the Stripe Connected Account Agreement and the Stripe Services Agreement (together, the Stripe Terms ).

By using the Service, you authorise Simply Link to share relevant information about you, your business, and your transactions with Stripe as required for onboarding, verification, risk checks, regulatory compliance, and ongoing monitoring.

Stripe is solely responsible for authorising, processing, and settling card payments. Stripe may place reserves, rolling holds, delayed payouts, or account restrictions based on its independent risk assessment. Simply Link does not control these decisions.

You acknowledge that Stripe may debit your Connected Account for disputes, chargebacks, reversals, fees, penalties, or compliance actions as described in the Stripe Terms. You are solely responsible for these amounts.

6. Fees, billing, and payouts

6.1 Platform fees

Our current pricing structure is:

  • Free tier: Simply Link charges a 1% platform fee per successful payment, in addition to Stripe’s processing fees.
  • Pro tier: Platform fees are waived while your Pro subscription (£19 per month) is active.

Platform fees are clearly disclosed before each transaction where applicable.

If a payment is refunded in full, Simply Link will refund any platform fees charged on that transaction. Stripe processing fees are not refunded.

6.2 Payment limits

To manage risk and comply with regulations, we apply limits to payment link amounts:

  • Free tier: Maximum £250 per payment link. Up to 5 active links at a time.
  • Pro tier: Maximum £2,500 per payment link. Unlimited active links.
  • Minimum amount: All payments must be at least £0.30 (thirty pence) due to Stripe processing requirements.

We reserve the right to adjust these limits at any time. If you require higher limits, please contact support for a manual review.

6.3 Stripe fees

Stripe separately charges processing fees for handling card payments. These fees are set and collected by Stripe under the Stripe Terms. Simply Link does not control Stripe's pricing.

6.4 Payouts, reserves, and holds

Payouts to your bank account are managed by Stripe and follow Stripe's payout schedule. Stripe may place reserves, rolling holds, or delayed payouts on your account based on its risk assessment or compliance checks.

Simply Link has no control over payout timing, held funds, or account reviews performed by Stripe and is not responsible for any loss or damage arising from delayed or withheld payouts.

6.5 Chargebacks and disputes

You are solely responsible for chargebacks, disputes, and reversals initiated by your customers. Stripe may debit your Connected Account for such amounts, including any associated fees, in accordance with the Stripe Terms.

Simply Link is not liable for any chargebacks or disputes and will not reimburse you for any amounts reversed by Stripe.

6.6 Refunds

As the merchant of record, you are responsible for your own refund policy and for issuing refunds to your customers where appropriate.

Refunds are processed through Stripe. Simply Link may assist with initiating refunds at your request, but does not assume responsibility for refund outcomes.

Refunds are processed as full refunds only. Partial refunds are not currently supported through the Simply Link platform. If you need to issue a partial refund, you must do so directly through your Stripe Dashboard.

Where a payment is refunded in full, Simply Link will refund any platform fees charged on the original transaction. Stripe processing fees charged on the original payment are not refunded.

Important: When a refund is issued, Stripe does not return the processing fees deducted from the original transaction. This applies even where Simply Link refunds its own platform fees.

Refunds may result in a negative balance on your Stripe Connected Account if your available balance is insufficient to cover the refund amount. You are solely responsible for maintaining sufficient funds in your Stripe account.

Simply Link is not responsible for unrecovered Stripe fees or negative balances resulting from refunds. These matters are governed by the Stripe Terms.

When a refund is issued for a payment link, the refund applies to the entire payment link. Payment links cannot be partially refunded while remaining active. If a refund is required after a deposit has been paid, the payment link will be marked as refunded and closed. If further payment is required, the seller must issue a new payment link. Simply Link does not determine refund eligibility or amounts. Refund decisions are the responsibility of the seller.

6.7 Taxes

You are solely responsible for determining, collecting, reporting, and paying any taxes, duties, or levies that apply to your use of the Service and to your transactions. Simply Link does not provide tax, accounting, or legal advice.

6.8 Losses, disputes, and reversals

As the merchant of record, you are fully responsible for all chargebacks, disputes, refunds, reversals, fraudulent transactions, or penalties arising from payments processed through your Stripe Connected Account.

Stripe may debit these amounts from your Connected Account balance or upcoming payouts. Simply Link does not reimburse or cover these amounts and accepts no liability for losses incurred due to disputes or Stripe compliance actions.

If Stripe is unable to recover funds from your balance, you remain responsible for any outstanding amounts.

7. Acceptable use and restricted businesses

You agree not to use the Service for any unlawful, fraudulent, misleading, or harmful activity. You may not process payments for goods or services that violate applicable law, infringe third-party rights, or breach the Stripe Terms.

You must not use Simply Link or Stripe for any activity listed on Stripe’s Restricted Businesses list, which includes but is not limited to:

  • illegal or regulated substances;
  • weapons, explosives, or hazardous materials;
  • adult content or services;
  • gambling, betting, or lotteries;
  • counterfeit goods or IP infringement;
  • fraudulent financial activity or unauthorised transactions;
  • any business category Stripe deems high-risk.

We may suspend or terminate your use of the Service if we detect or reasonably suspect prohibited or high-risk activity.

8. Data protection and privacy

Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms. By using the Service you confirm that you have read and understood our Privacy Policy.

You are responsible for complying with data protection laws that apply to your business and for obtaining any required consents from your own customers for the processing of their personal data.

9. Intellectual property

The Service and its original content, features, and functionality are owned by Simply Works LTD and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of any content and data you submit to the Service. You grant Simply Link a non-exclusive, worldwide licence to host, use, and display that content only as necessary to provide and improve the Service.

When you first visit our website, you will be presented with a cookie banner where you can choose to accept or reject non-essential cookies.

10. Service availability and changes

We aim to keep the Service available and running smoothly, but we do not guarantee uninterrupted or error free operation. We may modify, suspend, or discontinue parts of the Service at any time, for example for maintenance, security, or technical reasons.

11. Third party services

The Service integrates with third party services such as Stripe. Use of those services is subject to the terms and policies of the relevant third party. We are not responsible for the behaviour, features, or availability of third party services.

12. Disclaimers

The Service is provided on an as is and as available basis, without any warranties of any kind, whether express or implied. In particular, we do not warrant that:

  • the Service will be uninterrupted, secure, or free of errors;
  • defects will be corrected;
  • information or results obtained from the Service will be accurate or reliable;
  • the Service will meet your specific requirements.

13. Limitation of liability

To the fullest extent permitted by law, Simply Works LTD will not be liable for:

  • any indirect, incidental, special, or consequential damages;
  • loss of profits, revenue, data, or business opportunities;
  • losses arising from third party services, including Stripe;
  • any amounts exceeding the total fees you have paid to Simply Link for the Service in the twelve months prior to the event giving rise to the claim.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law.

14. Indemnification

You agree to indemnify and hold harmless Simply Works LTD, its directors, employees, and agents from and against any claims, losses, damages, liabilities, costs, and expenses arising out of or related to:

  • your use of the Service;
  • your breach of these Terms or the Stripe Terms;
  • your violation of any law or third party right;
  • any dispute between you and your customers.

15. Term and termination

We may suspend or terminate your access to the Service at any time if we reasonably believe that you have breached these Terms, engaged in prohibited activities, or created a risk for us, Stripe, or other users.

You may stop using the Service at any time. Termination does not relieve you of any obligations to pay fees owed, or of any other responsibilities that by their nature should survive termination.

16. Governing law

These Terms and any dispute or claim arising out of them are governed by the laws of England and Wales. The courts of England and Wales will have non-exclusive jurisdiction over any such dispute or claim.

17. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to let you know, for example by:

  • posting the updated Terms on our website;
  • showing a notice in your dashboard; or
  • sending an email to the address associated with your account.

Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
